These Terms of Service ("Terms") govern your access to and use of the Lyon website at lyon.so and the information we provide through it. Lyon's core product, a foundation model trained on your enterprise's own data and deployed inside your own cloud, is provided under a separate written agreement. Where that agreement and these Terms conflict, the written agreement controls.
Acceptance of these terms
By accessing or using the Lyon website, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the site. If you use the site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
The website & our services
Our website provides information about Lyon and lets you contact us, book a demo, and learn about our product. Any actual provision of Lyon's foundation model, training, deployment, or related services is governed by a separate master services agreement, order form, or similar written contract between Lyon and your organization. Nothing on this website by itself creates such an agreement or a commitment to provide services.
Eligibility
You must be at least the age of majority in your jurisdiction and able to form a binding contract to use this website. The website is intended for business and professional use, not for children.
Acceptable use
When using our website, you agree not to:
- Use the site in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to the site, its systems, or its data.
- Interfere with or disrupt the integrity or performance of the site.
- Introduce malware, scrape at scale, or otherwise misuse the site or its content.
- Misrepresent your identity or affiliation, or impersonate any person or entity.
Intellectual property
The website and its content, including text, design, graphics, logos, and the Lyon name and marks, are owned by Lyon or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to view the site for your own informational use. You may not copy, modify, distribute, or create derivative works from the site without our prior written permission.
Customer data & models
Lyon's product is built around a simple principle: your data never leaves, and neither does your model. When Lyon is engaged under a written agreement:
- Training and inference run inside your own cloud environment, and your enterprise data does not cross your perimeter.
- The foundation model is trained on your data alone and belongs to you as a proprietary asset.
- Your data is never mixed with any other customer's data and is never used to train another customer's model or a general-purpose model.
The specific rights, responsibilities, and data-processing terms for any engagement are set out in the applicable written agreement and, where relevant, a data processing addendum. Our handling of website and business-contact data is described in our Privacy Policy.
Third-party links
Our website may link to third-party sites and services, such as our demo scheduling and social profiles. We do not control and are not responsible for the content, policies, or practices of those third parties. Your use of them is governed by their own terms and privacy policies.
Disclaimers
The website and its content are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or secure, or that the information on it is complete or current. Any product descriptions on this site are for general information and are not a guarantee of specific results.
Limitation of liability
To the fullest extent permitted by law, Lyon and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the website. Our total liability for any claim relating to the website will not exceed one hundred U.S. dollars (USD $100). Nothing in these Terms limits liability that cannot be limited under applicable law.
Indemnification
You agree to indemnify and hold harmless Lyon and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the website or your violation of these Terms or any applicable law.
Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Changes are effective when posted, and your continued use of the website after that means you accept the revised Terms.
Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The courts located in Delaware will have exclusive jurisdiction over any dispute arising from these Terms or your use of the website, except where applicable law provides otherwise.
Nothing in this section limits any mandatory data-protection rights you hold under the laws of your own jurisdiction, including Brazil's Lei Geral de Proteção de Dados (LGPD) and the EU General Data Protection Regulation (GDPR). Those rights apply regardless of the governing law chosen above, and how we handle personal data is described in our Privacy Policy.
